Terms
These Terms of Service (hereinafter referred to as the "Terms") stipulate the conditions for the provision of the Service and the rights and obligations between the Company and registered users. When using the Service, you must read the entire Terms and agree to them.
Article 1 (Application)
1. The purpose of these Terms is to stipulate the conditions for the provision of the Service and the rights and obligations between the Company and registered users regarding the use of the Service, and they apply to all relationships between registered users and the Company regarding the use of the Service.
2. In the event of any discrepancy between the provisions of these Terms and explanations, etc. of the Service outside these Terms, the provisions of these Terms shall prevail.
Article 2 (Definitions)
The following terms used in these Terms shall have the meanings set forth below.
(1) "Service Use Agreement" means the agreement for the use of the Service between the Company and registered users, with these Terms as the contract conditions.
(2) "Intellectual Property Rights" means copyrights, patent rights, utility model rights, design rights, trademark rights, and other intellectual property rights (including the rights to acquire these rights or to apply for registration, etc. of these rights).
(3) "Posted Data" means the content (including but not limited to text, images, videos, and other data) that registered users post or otherwise transmit using the Service.
(4) "Company" means Moldspoon Inc.
(5) "Company Website" means the website operated by the Company with the domain "https://reboo.jp/" (including the website after any change of the Company" s website domain or content for any reason).
(6) "Registered User" means an individual or corporation that has been registered as a user of the Service based on Article 3 (Registration).
(7) "Service" means the service named "Reboo" provided by the Company (including the service after any change of name or content for any reason).
Article 3 (Registration)
1. A person who wishes to use the Service (hereinafter referred to as an "Applicant") may apply to the Company for registration to use the Service by agreeing to comply with these Terms and providing certain information determined by the Company (hereinafter referred to as "Registration Information") in the manner specified by the Company.
2. The Company shall determine whether to approve the registration of an Applicant who has applied for registration pursuant to Paragraph 1 (hereinafter referred to as a "Registration Applicant") in accordance with the Company" s criteria, and shall notify the Registration Applicant of its approval if the Company approves the registration. The registration of a Registration Applicant as a Registered User shall be completed when the Company sends the notification set forth in this paragraph.
3. Upon completion of registration as set forth in the preceding paragraph, the Service Use Agreement shall be established between the Registered User and the Company, and the Registered User shall be able to use the Service in accordance with these Terms.
4. The Company may refuse registration or re-registration if a Registration Applicant falls under any of the following items, and shall not be obligated to disclose the reason therefor.
(1) If all or part of the Registration Information provided to the Company is found to be false, wrong, or incomplete.
(2) If the Applicant is a minor, an adult ward, a person under curatorship, or a person under assistance, and has not obtained the consent of the statutory representative, guardian, curator, or assistant.
(3) If the Company determines that the Applicant is an antisocial force, etc. (meaning an organized crime group, a member of an organized crime group, a right-wing group, an antisocial force, or any other similar person; the same shall apply hereinafter), or has any kind of interaction or involvement with an antisocial force, etc. such as cooperating with or being involved in the maintenance, operation, or management of an antisocial force, etc. through the provision of funds or otherwise.
(4) If the Company determines that the Applicant is a person who has violated an agreement with the Company in the past or is a related party thereof.
(5) If the Applicant has ever been subject to the measures set forth in Article 10.
(6) If the Company determines that the registration is inappropriate for any other reason.
Article 4 (Change of Registration Information)
If there is any change to the Registration Information, the Registered User shall promptly notify the Company of the change in the manner specified by the Company.
Article 5 (Management of Password and User ID)
1. Registered Users shall properly manage and store their passwords and user IDs for the Service at their own responsibility, and shall not allow any third party to use them or lend, transfer, change the name of, sell, or otherwise dispose of them.
2. The Registered User shall be responsible for any damages caused by inadequate management, mistake in use, or use by a third party of the password or user ID.
Article 6 (Prohibited Acts)
In using the Service, Registered Users shall not engage in any of the following acts or any act that the Company determines falls under any of the following items.
(1) Acts that violate laws and regulations or are related to criminal acts.
(2) Acts of fraud or threats against the Company, other users of the Service, or other third parties.
(3) Acts against public order and morals.
(4) Acts that infringe on the intellectual property rights, portrait rights, privacy rights, reputation, or other rights or interests of the Company, other users of the Service, or other third parties.
(5) Transmitting through the Service any information that falls under or is determined by the Company to fall under the following categories.
- Information that contains excessively violent or cruel expressions.
- Information that contains computer viruses or other harmful computer programs.
- Information that contains expressions that defame the reputation or credit of the Company, other users of the Service, or other third parties.
- Information that contains excessively obscene expressions.
- Information that contains expressions that promote discrimination.
- Information that contains expressions that promote suicide or self-injury.
- Information that contains expressions that promote the inappropriate use of drugs.
- Information that contains antisocial expressions.
- Information that seeks the spread of information to third parties, such as chain letters.
- Information that contains expressions that make others feel uncomfortable.
(6) Acts that place an excessive burden on the network or system of the Service.
(7) Reverse engineering or other analysis of the software or other systems provided by the Company.
(8) Acts that may interfere with the operation of the Service.
(9) Unauthorized access to the Company" s network or systems, etc.
(10) Acts that impersonate a third party.
(11) Acts that use the ID or password of other users of the Service or the Twitter account used for authentication of the Service.
(12) Advertising, promotion, solicitation, or business activities on the Service without the prior consent of the Company.
(13) Collection of information of other users of the Service.
(14) Acts that cause disadvantage, damage, or discomfort to the Company, other users of the Service, or other third parties.
(15) Providing benefits to antisocial forces, etc.
(16) Acts for the purpose of meeting with unacquainted persons of the opposite sex.
(17) Acts that directly or indirectly cause or facilitate the acts set forth in the preceding items.
(18) Attempting to engage in any of the acts set forth in the preceding items.
(19) Other acts that the Company deems inappropriate.
Article 7 (Suspension of the Service)
The Company may suspend or interrupt all or part of the provision of the Service without prior notice to Registered Users in any of the following cases.
(1) When performing emergency inspection or maintenance of the computer system related to the Service.
(2) When the operation of the Service becomes impossible due to a computer, communication line, etc. failure, erroneous operation, excessive concentration of access, unauthorized access, hacking, etc.
(3) When the operation of the Service becomes impossible due to force majeure such as an earthquake, lightning strike, fire, wind and flood damage, power outage, or natural disaster.
(4) When the Company determines that suspension or interruption is necessary for any other reason.
Article 8 (Ownership of Rights)
1. All intellectual property rights related to the Company Website and the Service belong to the Company or the party that has licensed them to the Company, and the permission to use the Service based on these Terms does not imply the permission to use the intellectual property rights of the Company or the party that has licensed them to the Company related to the Company Website or the Service.
2. The Registered User represents and warrants to the Company that the Registered User has the legal right to post or otherwise transmit Posted Data and that the Posted Data does not infringe on the rights of any third party.
3. The Registered User grants the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works of, display, and perform Posted Data. The Registered User also grants other Registered Users a non-exclusive license to use, reproduce, distribute, create derivative works of, display, and perform Posted Data transmitted by the Registered User using the Service.
4. The Registered User agrees not to exercise moral rights against the Company and any party who has succeeded to or has been licensed rights by the Company.
Article 9 (Deletion of Registration, etc.)
1. If a Registered User falls under any of the following items, the Company may delete or make private Posted Data, temporarily suspend use of the Service by the Registered User, or delete the Registered User" s registration as a Registered User without prior notice or demand.
(1) If the Registered User violates any of the provisions of these Terms.
(2) If it is found that there is a false fact in the Registration Information.
(3) If payment is suspended or becomes impossible, or a petition for commencement of bankruptcy proceedings, commencement of civil rehabilitation proceedings, commencement of corporate reorganization proceedings, commencement of special liquidation proceedings, or similar proceedings is filed.
(4) If the Service is not used for 12 months or more.
(5) If there is no response to contact from the Company requesting a response such as an inquiry for 30 days or more.
(6) If the Registered User falls under any of the items in Article 3, Paragraph 4.
(7) In other cases where the Company deems the use of the Service or the continuation of registration as a Registered User to be inappropriate.
2. If a Registered User falls under any of the items in the preceding paragraph, the Registered User shall automatically lose the benefit of time for all debts owed to the Company and shall immediately pay all debts to the Company.
Article 10 (Withdrawal)
1. A Registered User may withdraw from the Service and delete his/her registration as a Registered User by completing the procedure specified by the Company.
2. If there are any debts owed to the Company at the time of withdrawal, the Registered User shall automatically lose the benefit of time for all debts owed to the Company and shall immediately pay all debts to the Company.
3. The handling of user information after withdrawal shall be in accordance with the provisions of Article 15.
Article 11 (Changes to or Termination of the Service)
1. The Company may change the content of the Service or terminate its provision at its own discretion.
2. When the Company terminates the provision of the Service, the Company shall notify Registered Users in advance.
Article 12 (Disclaimer and Indemnity)
1. The Company makes no warranty, express or implied, that the Service is suitable for the specific purpose of Registered Users, has the expected functions, commercial value, accuracy, or usefulness, that the use of the Service by Registered Users complies with the laws and regulations or internal rules, etc. of industry organizations applicable to Registered Users, that the Service can be used continuously, or that there are no defects.
2. The Company shall not be liable for damages suffered by Registered Users related to the Service beyond the amount paid by Registered Users to the Company in the past 6 months, and shall not be liable for incidental damages, indirect damages, special damages, future damages, or lost profits.
3. Transactions, communications, disputes, etc. that occur between Registered Users and other Registered Users or third parties in relation to the Service or the Company Website shall be resolved by Registered Users at their own responsibility.
Article 13 (Confidentiality)
Registered Users shall keep confidential non-public information disclosed by the Company to Registered Users in relation to the Service that the Company requests be kept confidential, except with the prior written consent of the Company.
Article 14 (Handling of User Information)
1. The handling of Registered Users" user information by the Company shall be in accordance with the separate Privacy Policy of the Company, and Registered Users shall agree that the Company will handle Registered Users" user information in accordance with this Privacy Policy.
2. The Company may use and disclose, at its own discretion, information and data provided by Registered Users to the Company as statistical information in a form that cannot identify individuals, and Registered Users shall not object to this.
Article 15 (Changes to these Terms, etc.)
The Company may change these Terms when it deems necessary. When changing these Terms, the Company shall notify Registered Users of the effective date and content of the changed Terms by posting them on the Company Website or other appropriate method. However, in the case of changes to the content that require the consent of Registered Users under laws and regulations, the Company shall obtain the consent of Registered Users in the manner specified by the Company.
Article 16 (Contact/Notification)
1. Inquiries regarding the Service and other communications or notifications from Registered Users to the Company, as well as communications or notifications from the Company to Registered Users regarding changes to these Terms, shall be made in the manner specified by the Company.
2. If the Company makes contact or notification to the email address or other contact information included in the Registration Information, the Registered User shall be deemed to have received such contact or notification.
Article 17 (Prohibition of Transfer of Rights and Obligations)
1. Registered Users may not assign, transfer, pledge as collateral, or otherwise dispose of their position in the Service Use Agreement or their rights or obligations under these Terms to any third party without the prior written consent of the Company.
2. In the event that the Company transfers the business related to the Service to another company, the Company may transfer its position in the Service Use Agreement, its rights and obligations under these Terms, and Registered Users" Registration Information and other customer information to the transferee of the business transfer, and Registered Users shall be deemed to have given their consent to such transfer in this paragraph. The business transfer set forth in this paragraph shall include not only ordinary business transfers but also all cases where the business is transferred, including company splits.
Article 18 (Severability)
Even if any of the provisions of these Terms or part thereof are found to be invalid or unenforceable under the Consumer Contract Act or other laws and regulations, the remaining provisions of these Terms and the remaining parts of the provisions found to be invalid or unenforceable shall remain in full force and effect.
Article 19 (Governing Law and Jurisdiction)
1. The governing law of these Terms and the Service Use Agreement shall be the laws of Japan.
2. The Tokyo District Court shall be the exclusive court of first instance for all disputes arising from or related to these Terms or the Service Use Agreement.
